Health Organisation and Medical Education for Society- Charitable and Educational Trust (HOMES-CET)
NAME:
The Trust shall be known by the name “Health Organisation and Medical Education for Society-Charitable and Educational Trust “Here in after called as HOMES-CET.Here after in this constitution, HOMES-CET is referred as ‘Trust’.
MISSION STATEMENT:
To be the best platform for dealing with all issues related to service to Society; Medical Education, Health care Education, Teaching, Research and promoting /encouraging entrepreneurship in the state in particular and in India in broad.
THE OBJECTIVES OF THE TRUST SHALL BE :
To create, promote educational awareness especially among the backwards, helpless and weaker sections of the society.
To carry out charitable works, health camps, distribution of food and medicines to the needy peoplez Education for se,ST., Orphan for Fries of Cost
To make planning and development of education Patterns and syllabus in accordance with the directives given by the competent authorities
To provide job-oriented education and training to create confidence motivating the youth for self-employment and in such a way to develop trained manpower able to compete in the global arena supporting the Country Bharat i.e., India
To establishment of Schools, Colleges, Education Institution, Medical or Technical Institutions, Institution for Vocational Trainings, Health Centres, free dispensaries, Child Welfare Centres, Centres for Poor Feeding, Orphan and Old age homes, welfare programmes for women and also to take up rural upliftment, poverty eradication programs including Education and Health Care for people living in the interior village areas of the State and different parts of the Country for the benefit of the society and public
To provide all needful professional curriculum for students with well constructed practical orientation developing their skills in order to help them gaining familiarity with the related subjects and to make them prepare for different competitive examinations
To establish Libraries for studies of students. To publish journals and periodicals, books related to pharmaceutical education, Medical Education, community pharmacy, other allied Sciences& research etc
To establish Hostel, Boarding and Transportation for students and maintain convenience, health and sanitization of students thereto
To organizes meetings, debates, seminars, symposium and training programme to create and develop different awareness in students and people of society.
To provide grants, scholarships, fellowships and other forms of financial assistance to the poor/needy and deserving student for pursuing education, vocational training, skill development etc
To spread the awareness of Pharmacy profession and education by arranging/organizing annual national and international conventions, various camps, public lectures, exhibitions, conferences, seminars, workshops etc. in Indian Territorial Jurisdiction only
To organise Social and Cultural Activities and also to grant financial assistance/help to any public funds or educational institution as the Trustees may think fit for distributing scholarships, prizes, medals, award for excellence in studies / sports / scientific research and distribution of books and notebooks for poor and deserving students etc. for promotion of any public charitable objects
To undertake projects from or in co-operation with Central Government, State Governments, Industry or other bodies.
To honour individuals for their contribution for the Society and also contribution towards the Trust annually
To organize relief and help people during natural calamities such as flood, famines, earthquakes, epidemics etc
To take up programmes on pollution control supporting environment and production of energy through natural and renewable sources
BOARD OF TRUSTEES:
The Management and control of the Trust and Trust property shall vest in a Board of Trustees. The Settler does hereby – appoint the following person as managing Trustee and Board of Trustee are hereby constituted as under

Thus TRUST shall be sole owner, custodian manager and legal representative of the Institution created by it and no one else.
POWERS OF TRUSTEES :
That, the Trustees will have full control over the affairs of the Trust and will have full control over the Trust property with all decisions of its Board of Trustees and the Managing Trustee/Trustees may in its absolute discretion use, utilise or manage the Trust Fund or any part thereof in any manner as they feel proper keeping in view the aims and objectives of the Trust.
That, the Board of Trustees shall be at liberty to appeal to the public /organizations for donation / contribution for the Trust and shall receive and accept such Donation / Contribution whether movable or immovable and will grant proper receipt and discharge for the same.
The Board of Trustees may at their discretion for the furtherance of the objects of the Trust borrow money with or without interest and in any form and manner and make dispositions of the properties movable and Immovable forming part of the trust fund and enter into any agreements, assurances, deals and things in relation thereto as the trustees may deem proper for giving security for such loans and interests.
That, the Trustees shall have full discretion to negotiate contract and purchase or/and take on lesse land/ immovable properties, from anybody in the name of the "HOMES CHARITABLE AND EDUCATIONAL TRUST", Brahmapur, and shall do, execute all other act, deed, matter or thing which in the opinion of the Board of Trustees ought to be done for proper transfer of the land/ immovable property in favour of the Trust and may construct building / Shed on the land at their absolute discretion and do all other things, matters required for construction of building and or shed.
That, the Trustees shall have powers to sell, exchange, surrender, lease, contract, rescind, dispose of any of the Trust properties and to transfer, release any mortgages or otherwise to realize or obtain the benefit thereof as the Trustees shall think proper keeping in view the aims, objectives and interest of the Trust subject to consent of two-third majority of the members of the Board of Trustee.
To receive from the purchaser the purchase money and to give proper receipt and discharge for the same, to present the said conveyance for any such Registration, to admit execution and receipt of consideration to have the said conveyance registered and to do all acts, deeds and things which the Trustees shall consider necessary for the purpose.
To appear and act in all courts, civil, criminal or revenue or original, revisional or appellate, in any other office and to sign, verify and file plaints, written statements, petitions, applications and also to present appeal in any court and to appoint and engage advocate or other attorneys as the Trustees think fit.
To commence, carry on or defend all actions and other proceedings concerning the Trust and the Trust property and to compound, compromise or submit to arbitration or otherwise, settle any claim or dispute concerning the Trust and the Trust property.
To open accounts or account in the name of the Trust in such Bank or Banks as the Trustees may think fit and proper and to determine who shall open and operate such account or accounts and sign, make, endorse or negotiate cheques, bills of exchange and other negotiable instruments. Trustees shall maintain proper books of accounts of the Trust Fund.
To manage/superintend/management of any land, premises with the powers to erect, pull down, rebuild, add, to alter and repair houses & buildings & to improve & develop such land, premises as absolute owners thereof and may appoint engineer for supervision of the Building/ Shed.
RESPONSIBILITIES OF TRUSTREES:
To borrow or raise funds in any manner as advisable under Rules for attainments, if the above objectives to negotiate and enter in to the agreement with any government university, municipality or any other public or private authorities which may seem conductive or beneficial to improve / render more efficient work of the Trust.
To make available the published papers to the life members on internet. To create and update database directory of life members of the trust..
To build-up support with Regulatory bodies, Central Government, State Governments, health councils and organisations and other professional bodies to enhance the quality of the Trust in general and service to the Trust in particular.
To issue appeals and applications for grants, funds and donations to realise said objectives and to accept grants, gifts, donations, subscriptions or any property movable or immovable.
To acquire, purchase, invest (in bank deposits) and otherwise use funds of the Trust so as to realise the objectives.
To acquire, purchase otherwise take on lease or hire temporarily or permanently any movable or immovable property as may be necessary or convenient for the furtherance of the Trust.
To sell, mortgage, lease, exchange and otherwise transfer or dispose off all or any property movable or immovable of the Trust for the furtherance of the objectives.
To construct, maintain, improve or develop any building or work which may be necessary or convenient for the purpose of the Trust.
To undertake, create and accept the management of any endowment or trust funds or donations.
To do all such other lawful things as are conducive or ineidental to the attainment of the above objectives and in furthering the growth of the Trust.
To project HOMES as a pivotal and approved professional Organisation to the Trust.
MANAGEMENT OF THE TRUST :
The Trustees may constitute sub-committees for carrying out the objectives of the Trust and to regulate the same from time to time.
To frame Schemes, bye-laws, rules and regulations to conduct their meetings, for appointment of Chairman, Secretary, Treasurer or any other member for carrying out the aims and objectives and for giving effect to the objectives and purpose thereof and to very, add to or modify, amend the same from time to time as the Trustees, in their discretion deem fit and proper.
The Trustees shall not be entitled for any remuneration for their services but shall be entitled for travelling and other necessary expenses incurred in connection with the affairs thereof.
Any Trustee may retire from the office on giving one month Notice in Writing to the other Trustees or the Chairman of the Board of Trustees of the intention to do so and such resignation shall take effect upon its acceptance by the other Trustees.
The Office of a Trustee shall be vacated if he becomes lunatic or incapable of acting or is otherwise unfit to act. Any member of the Board of Trustee may be removed or expelled from the Trust by a vote of Two-Third majority of the members of the Trust present in the meeting if the conduct / action of such member is found contrary to the objectives, interest of the Trust and the Trust Property.
That, in case of death, retirement, removal / vacation from office, expulsion from the "Board of Trustee" or otherwise, it shall be lawful for the remaining or surviving members of the Board of Trustees to appoint by writing a new Trustee or Trustees as the case may be in place of Trustee or Trustees so dead, retired, vacated, removed, expelled, by a vote of two-third majority of the members of the Board of Trustees present in the meeting, and upon every such appointment the member of trustees may be increased but not more than nine or less than three and upon every such appointment the TRUST PROPERTY and FUND shall with all convenient despatch or being transferred or vested in the trustees but every new trustee upon his appointment as aforesaid shall have same powers in the manner as if he had been originally appointed as trustee under these presents.
HEAD QUARTERS:
Brahmapur (Odisha) shall be the head quarter of the Trust.
MEMBERSHIP:
Membership of the trust shall consist of four types:

DONORS & PATRONS :
Any amount fixed by the general body of HOMES from time to time shall be paid by the persons who want to become donor or patron. Once they pay the prescribed amount, they will become donor or patron members for their lifetime.

The office bearers of the association shall include:

AGENDA OF ANNUAL GENERAL BODY MEETING :
To confirm the minutes of the previous Annual General Body Meeting and to adopt the audited statement of the accounts.
To prepare a Budget for next year.
To consider any other matter referred by the Trust.
Any other matter with the permission of the chair
SPECIAL GENERAL BODY MEETING :
The Secretary shall call a special general body meeting to transact any special business on the direction of the Trust.
AMENDMENTS :
Any proposal to alter the constitution and Bye-laws of the Trust shall be considered at a general body meeting specially convened for the purpose after giving at least thirty days’ notice to the members. Amendments may also be made in the Annual General Body Meeting, but the proposed amendments shall be sent to the members at least 15 days in advance. Such amendments or alterations shall become a part of the constitution on receiving assent of at least two-thirds of the members present.
OFFENCE :
The Health Organization and Medical Education for Trust (HOMES) shall sue or be sued in the name of its President.
LIFE MEMBERSHIP :
Any person interested in social services with a minimum qualification of diploma or degree (any discipline) obtained from any recognised board/council or university is eligible for life membership of HOMES. Such persons can become life members of the Trust by paying the membership fee as prescribed by the General Body of the Trust. (The General Body may revise the membership fee periodically as and when needed.)
CHARTERED MEMBER :
Any person with distinguished service to the Trust, having social recognition and a minimum qualification of a degree (any discipline) obtained from any recognised university is eligible for chartered membership of HOMES. Such persons can become chartered members of the Trust by paying the fee as prescribed by the General Body of the Trust. (The General Body may revise the membership fee periodically as and when needed.)
APPOINTMENT OF EDITORS :
The editors of all the journals, periodicals, books, etc. published by HOMES shall be appointed by the office bearers.
PRESIDENT :
The President of the Trust shall act as friend, philosopher and guide of the Trust. The President shall chair all meetings (general body and other relevant meetings). He/she shall sign as President with the Secretary or any office bearer for all notes, deeds, contracts, conveyances, agreements and other instruments requiring such signatures. He/she may convene special meetings of the Trust and perform all duties typically required of a presiding officer. In the case of a tie during voting, the President shall have a casting vote. He/she shall be jointly responsible with the Secretary and Treasurer for auditing the Trust accounts and submitting them at the Annual General Body Meeting for approval.
VICE–PRESIDENTS :
The Vice-Presidents shall perform the duties of the President in his/her absence. They may chair meetings when the President is unavailable and shall be regarded as the next senior-most authority in the Trust.
SECRETARY :
The Secretary shall manage the day-to-day affairs of the Trust. He/she shall maintain all records and correspondence, arrange meetings, issue notices, and record minutes. The Secretary shall represent the Trust in all necessary matters, receive representations from members, and present them in meetings. The Secretary shall co-sign documents with the President or another office bearer and is a signatory to Bank transactions. He/she shall be responsible, along with the President and Treasurer, for auditing and presenting Trust accounts annually. The Secretary is also the custodian of all Trust documents and properties and shall prepare the annual activity report for presentation at the Annual General Body Meeting.
JOINT SECRETARY :
The Joint Secretary shall assist the Secretary in all matters and act on his/her behalf during any absence.
TREASURER :
The Treasurer shall handle all financial transactions including receiving donations and subscriptions. Funds will be deposited in the Trust's bank account. The Treasurer shall submit financial statements periodically, prepare the annual budget, and arrange for audit of accounts with the help of the Secretary. The financial year shall be from 1st April to 31st March. He/she is also a signatory to bank transactions with either the President or Secretary.
DUTIES OF GENERAL BODY MEMBERS :
General Body members may attend all meetings and freely express their opinions. They can verify audit and activity reports, and suggest or propose amendments. Members unable to attend may send their opinions in writing to the Secretary, which shall be presented during the meeting.
FINANCES :
All Trust funds shall be deposited in any nationalized bank in Odisha. The bank account shall be operated jointly by any two of the following: President, Secretary, or Treasurer. Accounts shall be audited annually and presented first to the Executive Council, then to the General Body for approval.
PUBLICATIONS :
The Trust may publish relevant scientific journals such as RJPLS, bulletins, books, and other materials as deemed necessary.
NATIONAL / INTERNATIONAL CO-ORDINATOR :
The President, in consultation with central office bearers, may nominate a National or International Coordinator to oversee collaborative activities with foreign associations and agencies.
DISCIPLINARY ACTION :
Any office bearer, Executive Committee member, or life member may be removed for working against the principles of the Trust, criminal activity, national disloyalty, or professional misconduct. Removal requires a two-thirds vote of the remaining members present at the General Body Meeting.
FUNDS UTILIZATION :
The funds and income of the Trust shall be used solely for achieving the objectives of the Trust. No part of the income shall be distributed among members as profit, interest, or dividends.
STATUTORY COMPLIANCE :
Notwithstanding anything in the aims and objectives of the Trust and provisions made under the bye-laws, the Trust and its functioning shall be aligned with and abide by the general principles and statutory regulations laid down by the Central Government in force.
SAVE AND REPEAL :
These amendments shall repeal all previous articles and clauses that are in contradiction to the letter and spirit of these amendments from the date they are approved and passed in the General Body Meeting. All other articles and clauses not affected shall remain in full force as per the original.
